1. Acceptance of Terms

By accessing or using the ZenGuard Markets platform ("Platform"), website, or any related services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you and ZenGuard Markets Ltd ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on our website.

Your continued use of the Services after any modifications indicates your acceptance of the updated Terms. We encourage you to review these Terms periodically.

2. Definitions

"Account" means the trading account you create with ZenGuard Markets to access our Services.

"Client" or "you" refers to any individual or entity that registers for and/or uses our Services.

"Financial Instruments" means any tradeable assets available on our Platform, including but not limited to forex currency pairs, stocks, cryptocurrencies, indices, and commodities.

"Margin" means the funds required to open and maintain a leveraged trading position.

"Order" means an instruction to buy or sell a Financial Instrument through our Platform.

3. Account Registration

To use our Services, you must register for an Account by providing accurate, current, and complete information. You must be at least 18 years of age (or the age of majority in your jurisdiction) to open an Account.

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must immediately notify us of any unauthorized use of your Account.

We reserve the right to refuse registration, suspend, or terminate any Account at our sole discretion, including but not limited to cases where we suspect fraudulent activity, violation of these Terms, or regulatory non-compliance.

4. Trading Services

ZenGuard Markets provides an online trading platform that enables Clients to trade various Financial Instruments. All trading is conducted on a Contract for Difference (CFD) basis unless otherwise specified.

We act as the counterparty to your trades. Prices quoted on our Platform are derived from our liquidity providers and may differ from prices available elsewhere. We strive to provide the most competitive pricing possible.

All orders are subject to our execution policy, which is available on our website. We do not guarantee that any order will be executed at the requested price, particularly during periods of high volatility or low liquidity.

5. Deposits and Withdrawals

You may fund your Account using the payment methods available on our Platform. All deposits must originate from accounts or payment methods in your name.

Withdrawal requests are processed within 1-3 business days. We reserve the right to request additional verification before processing withdrawals. Withdrawals must be made to the same payment method used for deposits, where possible.

Minimum deposit and withdrawal amounts may apply and are specified on our Platform. We do not charge fees for standard deposits, but third-party payment processor fees may apply.

6. Fees and Charges

Our fee structure includes spreads, commissions, swap/overnight financing charges, and any other fees as disclosed on our Platform. Fee schedules are available on our Pricing page and may be updated from time to time.

You are responsible for all fees associated with your trading activity. Fees are automatically deducted from your Account balance. Inactivity fees may apply to dormant accounts as specified in our fee schedule.

We reserve the right to modify our fee structure with prior notice to Clients.

7. Risk Disclosure

Trading Financial Instruments, particularly CFDs, carries a high level of risk and may not be suitable for all investors. You may lose more than your initial investment. Leverage amplifies both potential profits and potential losses.

Before trading, you should carefully consider your investment objectives, level of experience, and risk appetite. You should not invest money that you cannot afford to lose. Please refer to our full Risk Disclosure document for comprehensive risk information.

Past performance is not indicative of future results. Any trading history or examples shown on our Platform are for illustrative purposes only.

8. Intellectual Property

All content, features, and functionality of our Platform, including but not limited to software, text, graphics, logos, and design elements, are the exclusive property of ZenGuard Markets or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Platform for personal, non-commercial trading purposes. You may not reproduce, distribute, modify, or create derivative works from any content on our Platform without our express written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ZenGuard Markets shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of our Services.

Our total liability for any claim arising from or related to these Terms or our Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

We are not liable for any losses resulting from system failures, internet connectivity issues, force majeure events, or any circumstances beyond our reasonable control.

10. Indemnification

You agree to indemnify, defend, and hold harmless ZenGuard Markets, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

11. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

12. Termination

Either party may terminate these Terms at any time. You may close your Account by contacting our support team. We may suspend or terminate your Account immediately if we believe you have violated these Terms or applicable laws.

Upon termination, you must cease all use of our Services. Any open positions may be closed at the prevailing market price. Any remaining balance in your Account will be returned to you, subject to applicable fees and regulatory requirements.

13. Dispute Resolution

Any disputes arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the London Court of International Arbitration.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or representative proceeding.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts of England and Wales for any legal proceedings arising from these Terms.

15. Amendments

We reserve the right to amend these Terms at any time by posting the updated Terms on our website. Material changes will be communicated to you via email or through a notice on our Platform. Your continued use of our Services after such changes constitutes your acceptance of the amended Terms.
